 协助召开董事会，出具董事会决议，完成企业内部审批流程。

Step 4 | 商务部门递交（3个工作日）

 向所在地商务主管部门递交备案材料，跟进受理通知。

Step 5 | 发改部门备案（5-10个工作日）

 答 / A：所有在境外进行直接投资的中国境内企业（含有限责任公司、股份有限公司、合伙企业等）均需办理。个人境外投资暂不适用。

 All Chinese domestic enterprises making direct overseas investments (including limited liability companies, joint-stock companies, partnerships, etc.) are required to file. Personal overseas investment is not currently applicable.

 答 / A：投资金额小、非敏感行业适用"备案"制，流程相对简便；投资金额大或涉及敏感行业适用"审批"制，需商务部/发改委逐级审批，周期更长。

 Small-amount, non-sensitive investments follow the "filing" process, which is relatively simple; large-amount or sensitive-industry investments require "approval," involving tiered review by the Ministry of Commerce and NDRC with a longer cycle.

 答 / A：ODI备案有效期为2年。若2年内未完成投资，需申请延期或重新备案。

 The ODI filing is valid for 2 years. If the investment is not completed within 2 years, you must apply for extension or re-filing.

Q4：先设境外公司还是先办ODI？

 答 / A：强烈建议先完成ODI备案，再设立境外公司。逆向操作可能导致境外公司设立后资金无法合规出境，或面临行政处罚。

 We strongly recommend completing the ODI filing first, then establishing the overseas company. The reverse order may result in funds being unable to legally leave China, or administrative penalties.
